The By-Laws that govern the Board of Trustees of Cedar Ridge Community Church were adopted in 1997 and amended in 2001. In 2010, a By-Laws subcommittee of the Board was formed to review the document and recommend changes if needed. The Trustees have reviewed, discussed and accepted the amended document now put forth to members of Cedar Ridge for approval.
The original By-Laws are posted here alongside proposed amended By-Laws (please see attachments). There is only one substantive change to the document, under Article VII, Section 3, reflecting the Board’s adoption of a Conflict of Interest policy:
- Conflict of Interest. Each Trustee shall sign a Conflict of Interest disclosure form as adopted by the Board at regularly scheduled annual meetings.
Numerous minor changes were made to make the document more readable and less repetitive. Examples of changes include:
- “Cedar Ridge” replaces “Religious Corporation” throughout the document.
- Requirement to contact all members by U.S Mail was replaced with language that can accommodate ever-changing modes of communication (email, etc.).
- Duplicate sections were removed.
- September – August fiscal year officially adopted.
At our Annual Meeting on January 12, 2011, members of Cedar Ridge will be asked to vote to accept the amended By-Laws. There will not be discussion of By-Laws changes at that time due to a full agenda; therefore the Board requests that all members review the documents prior to the meeting and bring any concerns forward immediately so that they can be addressed.
